1. Introduction

These Terms apply to all users of the Site, including:

• Renters (Members)
• Investors
• Property Managers
• Vendors offering additional services

2. Definitions

For the purposes of these Terms:

• Accommodation: Rental properties listed on Citiliving, available for long-term or short-term leases.
• Host: A property owner or authorized manager listing properties on the Citiliving platform.
• Member: A renter subscribing to accommodation services through Citiliving.
• Listing: A property or unit available for rent on Citiliving.
• Subscription: A contractual agreement for property rental on a monthly, quarterly, bi-annual, or yearly basis.
• Short Lease: A rental period between 90 and 365 days.
• Long Lease: A rental period above 365 days.
• Security Deposit: A refundable amount collected to cover unpaid rent or damages.
• Vendor: A third party providing additional services such as cleaning, maintenance, or financial services.

3. Nature of Services

Citiliving Ltd. acts solely as a third-party platform that connects users with landlords, property owners, and property management services. Citiliving Ltd. does not own, manage, or control any rental or sale properties listed on the Site. As such, Citiliving Ltd. makes no warranties or representations regarding the condition, quality, or legality of any properties, nor does it guarantee that any party will fulfill any agreements or obligations that may arise from using this Site. In respect of properties developed by Citiliving with its joint development partners, separate agreements which shall indicate the scope of protection available will be executed with subscribers. Citiliving, however, commits to ensuring that all landlords, property managers, and other vendors on this site maintain the highest standards of quality and customer satisfaction in line with Citiliving’s high standard and quality delivery policies.

4. Separate Agreements

Users acknowledge that any rental or sale agreements are to be made directly between the user and the property landlord or owner. Citiliving Limited is not a party to these agreements and will not be liable for any disputes, claims, or issues that may arise from these transactions. Users are strongly encouraged to seek independent legal advice before entering into any agreements.

5. User Responsibilities

Users agree to:

• Provide accurate and complete information when using the Site.
• Comply with all applicable laws and regulations in connection with your use of the Site.
• Not use the Site for any unlawful purpose or in a manner that could damage, disable, overburden, or impair the Site.

6. Platform Services

Citiliving provides a seamless property rental experience by:

• Connecting property owners with potential renters.
• Offering property management solutions, including maintenance and tenant verification.
• Facilitating payments and lease agreements.
• Providing additional services such as home cleaning, security, and facility management.

7. Property Listing and Rental Terms

• Hosts must ensure that all listed properties meet Citiliving's livability and regulatory standards.
• Members agree to maintain the property in good condition and pay rent as specified.
• Properties must be accurately described, including amenities, size, and pricing.

8. Payments and Fees

8.1. Subscription Fees

Rent payments are processed via the Citiliving platform and are due in the following cycles:

• Monthly Subscription – Renewable every 30 days
• Quarterly Subscription – Renewable every 90 days
• Biannual Subscription – Renewable every 180 days
• Annual Subscription – Renewable every 365 days

8.2. Payment Processing

• Citiliving facilitates rental payments and remits them to property owners within five (5) working days.
• Payments for security deposits, service fees, and vendor services are deducted as per the agreed terms.

8.3. Refunds and Cancellations

• Payments for short leases (90–365 days) are non-refundable once booked and confirmed.
• Security deposits are refundable within 30 days after the lease period, subject to deductions for outstanding dues.

9. Responsibilities of Users

9.1. Responsibilities of Hosts

• Ensure properties meet safety and habitability standards.
• Provide accurate property descriptions.
• Maintain the property and respond to maintenance requests promptly.

9.2. Responsibilities of Members

• Pay rent and service fees on time.
• Abide by property rules, including noise levels and cleanliness.
• Notify Citiliving of any property issues requiring urgent attention.

9.3. Responsibilities of Vendors

• Deliver quality services as listed on the Citiliving platform.
• Ensure timely responses and completion of services.

10. Commitment to Compliance

Citiliving is committed to preventing money laundering and terrorism financing. Our Anti-Money Laundering (AML) policy ensures that all transactions comply with local and international regulations.

11. Know Your Customer (KYC)

Users must complete KYC verification, which includes:

• Government-issued ID (e.g., Passport, National ID, Driver’s License).
• Proof of Address (utility bill or bank statement).
• Verification of Source of Funds for large transactions.

Users who fail to complete KYC verification will not be able to transact on the platform.

12. Transaction Monitoring

We monitor all transactions for:

• Unusual payment patterns.
• Large deposits inconsistent with user profiles.
• Transactions involving sanctioned countries or entities.

Suspicious activities will be reported to the relevant authorities.

13. Record Keeping

• Citiliving retains transaction records for up to five (5) years.
• All KYC documentation is securely stored and accessed only by authorized personnel.

14. Termination of Service

Citiliving reserves the right to:

• Suspend or terminate user accounts for non-compliance with these Terms.
• Evict tenants engaging in illegal activities or violating lease terms.
• Blacklist property owners who repeatedly fail to meet service standards.

15. Liability Disclaimer

Citiliving acts solely as an intermediary between property owners and renters. We do not:

• Guarantee the availability of any property at all times.
• Assume responsibility for loss or damage to property or personal belongings.
• Provide insurance coverage for any rental properties.

16. Further Disclaimers

• Citiliving Limited does not guarantee the accuracy, completeness, reliability, or availability of any content or information provided on the Site.
• The Site is provided on an “as-is” and “as-available” basis. Citiliving Ltd. DISCLAIMS all warranties of any kind, whether express or implied, including, but not limited to, any warranties of merchantability, fitness for a particular purpose, or non-infringement. However, strict measures have been put in place to as much as possible, ensure that accurate and reliable information is available on the Site.

17. Limitation of Liability

To the fullest extent permitted by law, Citiliving Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, including, but not limited to, loss of profits, data, or goodwill, except as stated under our privacy policy.

18. Indemnification

You agree to indemnify, defend, and hold harmless Citiliving Limited, its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site for any illegal, unauthorized dealings or any violation of these Terms.

19. Modifications to Terms
